General Corporate Law
We have extensive experience in a broad range of business and finance matters, including business formations, mergers and acquisitions, reorganizations and joint ventures, venture capital, private equity and corporate representation. We provide counsel to emerging enterprises and large established businesses in a variety of industries. We create and negotiate the contracts that are the legal lifeline of their businesses, including supply and distribution agreements, employment related agreements and documents, agreements with customers and more. We also specialize in structuring and documenting arrangements between business owners, their shareholders or partnership agreements, limited liability company agreements and agreements with investors.
Mergers and Acquisitions
We work with our clients in planning and structuring acquisitions and dispositions of businesses and, in this regard, assist in performing due diligence, preparing and negotiating each of the transaction documents. We represent both buyers and sellers in a wide variety of industries, ranging from food and beverage to technology to consumer products, and whether private equity or venture backed or independently owned. We handle asset purchases, stock purchases and merger transactions as well as tender offers and spin-offs. We are also well versed in restructuring companies and otherwise preparing them for sale. We pride ourselves on gaining an in-depth understanding of our clients’ businesses to ensure that their objectives are met. Our intent is to identify risks and provide practical solutions to get each transaction to closing, while advising, protecting and guiding our clients along the way.
Securities &
Startups
We advise clients from small entrepreneurs and startup ventures to large established businesses across many industries during the process of raising funds through conducting private securities offerings to investors. These private placements, whether through venture capital, private equity, "friends and family" or crowdfunding investments, allow for businesses to finance the purchase of real estate or to develop or expand an emerging business. Our firm is devoted to helping new companies survive those challenging early years by putting into place the necessary legal structures, and established businesses meet their growth needs.
Technology Transactions
We represent clients both seeking to purchase or license technology related services and technology service and product providers. For technology providers, our representation includes outbound licensing and hosting agreements as well as joint ventures, alliances and other third-party development agreements. For clients seeking to acquire technology to meet any of their business needs, this includes licensing, outsourcing, management consulting, and other strategic or complex purchasing agreements. Part of this expertise includes advising on requirements of and compliance with the EU General Data Protection Regulation (GDPR) and the California Consumer Privacy Act (CCPA). No transaction is too small or too large for our team to provide valuable legal counsel to our clients’ growing business needs.
Real Estate
We represent and advise property owners and investors in matters pertaining to commercial real estate transactions and real estate related businesses. We represent investors on the buying and selling of all types of real estate assets.
